Data Migration Tools (the “Site”) is a product suite owned and operated by Yin Yang Inc. d/b/a ClonePartner (“ClonePartner”, “we”, “us”, or “our”).
While ClonePartner is a professional services firm, the utilities provided on this Site are self-service software tools. By accessing or using this Site, you acknowledge that you are using a free utility, and that no professional services engagement or client-vendor relationship is created between you and ClonePartner (or Yin Yang Inc.) unless you explicitly engage us via a separate written agreement (e.g., an Order Form for our “Hire Experts” service).
2. Acceptance of Terms
By accessing, browsing, or using the tools provided on this Site, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use the Site.
3. Description of Service & License
We grant you a limited, non-exclusive, non-transferable, and revocable license to use the validators, converters, and schema checkers provided on this Site solely for your internal business purposes (e.g., preparing data for migration).
You agree not to:
- Reverse engineer, decompile, or disassemble any aspect of the Site.
- Use the Site to process illegal, offensive, or malicious data.
- Sell, resell, or commercially exploit the tools themselves as a standalone product.
- Automate the use of the tools (e.g., “scraping” or “botting”) without our written consent.
4. Data Processing & Security
We have designed these tools to prioritize your privacy and data sovereignty.
- Browser-Based Processing: Wherever possible, data processing occurs locally in your browser (client-side). In these instances, your data never leaves your device.
- Server-Side Processing: For tools requiring server-side resources, data is processed in an ephemeral state within our SOC 2 Type II and ISO 27001 certified environment. Data is purged immediately upon the completion of the request.
- No Retention: Unlike our specific paid engagements, we do not retain, archive, or backup any data uploaded to these free utilities. You are solely responsible for maintaining your own backups of your original data.
5. Disclaimer of Warranties (“AS IS”)
PLEASE READ CAREFULLY: THE SERVICES AND TOOLS ON THIS SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMISSIBLE BY LAW, YIN YANG INC. (D/B/A CLONEPARTNER) DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE RESULTS OBTAINED FROM THE USE OF THE TOOLS WILL BE ACCURATE, ERROR-FREE, OR SUITABLE FOR YOUR SPECIFIC MIGRATION NEEDS.
6. Limitation of Liability
You understand that data migration carries inherent risks. By using these free tools, you assume all risks associated with data modification and conversion.
IN NO EVENT SHALL YIN YANG INC., ITS OFFICERS, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOST PROFITS) ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7. Relationship to Paid Services
These Terms apply solely to the free utilities hosted on data-migration-tools.com. If you choose to click “Hire Experts” or engage ClonePartner for a managed migration, that relationship will be governed by a separate Master Services Agreement (MSA) and Statement of Work (SOW), which will supersede these Terms regarding that specific project.
8. Modifications to Service
We reserve the right to modify, suspend, or discontinue any tool or feature on this Site at any time without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Oregon.
